Terms of Service & End-User License Agreement

1. Agreement to Terms

By downloading, installing, or using any NexPoint software product (“Software”), you (“Licensee”) agree to be bound by these Terms of Service and End-User License Agreement (“Agreement”) with NexPoint (“we,” “us,” or “our”). If you do not agree, do not install or use the Software.

2. License Grant

Subject to the terms of this Agreement and payment of applicable fees, NexPoint grants you a non-exclusive, non-transferable, limited license to install and use the Software on the number of WordPress sites specified by your license tier:

• Single Site License (NP-WIZ-1): 1 WordPress installation
• 5-Site License (NP-WIZ-5): Up to 5 WordPress installations
• Agency License (NP-WIZ-AGY): Unlimited client WordPress installations

Each license is valid for the subscription term purchased (annual or lifetime, as specified at checkout). Annual licenses must be renewed to continue receiving updates and support.

3. Restrictions

You may not, and may not permit others to:

• Copy, modify, distribute, sell, or sublicense the Software or any part of it
• Share your license key with third parties outside the licensed site count
• Reverse-engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software on more sites than your license permits
• Transfer your license to another person without our written consent

4. Ownership & Intellectual Property

The Software and all copies thereof are proprietary to NexPoint and title thereto remains in NexPoint. All applicable rights in all copyrights, trade secrets, patents, and other intellectual property in the Software are and will remain in NexPoint. You do not acquire any ownership rights by purchasing a license.

5. Updates & Support

Active license holders are entitled to:

• Software updates for the duration of their license term
• Email support at hello@nexpointstudio.com (response within 1 business day)
• Access to documentation and knowledge base resources

Support does not cover customization, third-party plugin conflicts outside our documented compatibility list, or issues arising from modified Software.

6. Refund Policy

We offer a 14-day money-back guarantee on all NexPoint software purchases. If you are not satisfied for any reason, contact us at hello@nexpointstudio.com within 14 days of your original purchase date and we will issue a full refund — no questions asked.

Refunds are not available after 14 days, on renewal charges once a new license term has begun, or if a license has been used to deploy a site that remains active and using our Software.

7. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, NEXPOINT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEXPOINT DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR OPERATE WITHOUT INTERRUPTION.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXPOINT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE.

IN ANY CASE, NEXPOINT’S AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from NexPoint if you fail to comply with any terms herein. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

10. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law. Any disputes arising under or in connection with this Agreement shall be resolved through binding arbitration, with each party bearing its own costs.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address on file with your account. Continued use of the Software after the effective date of revised Terms constitutes acceptance. You may always find the current Terms at nexpointstudio.com/terms/.
